1. Purpose and Scope
These Terms of Service (the “Terms”) govern access to and use of the website Meridian Optics (the “Website”), operated by Meridian Networks LLC (the “Company”, “we”, “us”, or “our”).
The Website is intended exclusively for business-to-business (B2B) use. By accessing or using the Website, you confirm that you act on behalf of a business entity and agree to be bound by these Terms.
2. Website Services
The Website provides, in particular:
- Product and technical information
- Account-based access for approved users
- Visibility into customer-specific pricing
- Quote requests and order placement functionality
- Direct communication with our sales teams
The Website does not process online payments. All commercial agreements, purchase orders, payment terms, and contractual obligations are handled outside the Website through separate written arrangements.
3. Accounts and Access
Access to certain areas of the Website is restricted to registered users.
User accounts:
- Are created only after approval by the Company’s sales team
- Are assigned to a specific business entity
- May not be transferred, shared, or sublicensed
The Company reserves the right to suspend or terminate any account, at its sole discretion, including in cases of misuse, unauthorized access, or breach of these Terms.
4. Pricing, Quotes, and Orders
Pricing information displayed on the Website:
- May vary depending on customer-specific contracts, negotiated discounts, volumes, and commercial terms
- Is provided for informational purposes only and does not constitute a binding offer
Users may place orders through the Website. All orders are subject to confirmation by the Company.
In the event of any inconsistency, the terms set out in written contracts, purchase orders, or other commercial agreements executed outside the Website shall prevail.
5. Accuracy of Information
The Company makes reasonable efforts to ensure that information on the Website is accurate and up to date. However, product descriptions, technical specifications, availability, and pricing may contain errors or inaccuracies.
The Company does not guarantee the completeness or accuracy of Website content and reserves the right to correct or update information at any time without notice.
6. Intellectual Property
All content on the Website, including but not limited to text, images, graphics, technical documentation, product descriptions, logos, and designs, is the exclusive property of Meridian Networks LLC.
No content may be copied, reproduced, distributed, or used for commercial purposes without prior written authorization.
7. Acceptable Use
Users agree to use the Website solely for legitimate business purposes and to refrain from any activity that may disrupt the Website, compromise its security, or interfere with its operation.
Any unauthorized use may result in immediate suspension or termination of access.
8. Order Cancellation, Returns, and Refunds
Order Cancellation
All orders are considered firm and binding upon submission.
Customers may request cancellation within twenty-four (24) hours of placing an order. After this period, the order shall be deemed final and non-cancellable.
Due to the nature of the Company’s products, including custom manufacturing and configuration of optical transceivers (SFPs), once production has commenced, an order cannot be cancelled, modified, or reversed. Products in production cannot be “unproduced.”
This condition applies regardless of agreed payment terms, including cases where payment has not yet been made. By placing an order, the customer expressly acknowledges and accepts this condition.
Returns and Refunds
Returns are accepted only in the case of defective products.
Returns for reasons including, but not limited to, change of mind, ordering errors, excess inventory, or commercial considerations are not accepted.
Refunds, replacements, or credits, where applicable, are strictly limited to defective products and are subject to inspection and validation by the Company in accordance with its warranty policy.

9. Limitation of Liability
The Website and its content are provided on an “as is” basis.
To the fullest extent permitted by applicable law:
- The Company disclaims any liability for technical inaccuracies or errors
- The Company shall not be liable for indirect, incidental, or consequential damages
- Use of the Website is at the user’s own risk
10. Availability of the Website
The Company does not guarantee uninterrupted or error-free access to the Website. Access may be suspended temporarily for maintenance, updates, or technical reasons.
11. Amendments
The Company reserves the right to modify these Terms at any time. Any changes will be published on the Website with an updated revision date.
Continued use of the Website following publication of changes constitutes acceptance of the revised Terms.
